Weinhold Legal advises on the acquisition of Alpine Bau by PORR
Weinhold Legal provided comprehensive legal advice to the biggest Austrian building contractor PORR in connection with agreements for the transfer of all shares in ALPINE Bau CZ a.s. from PSJ Holding. The Czech-Slovak group Alpine Bau is active in the building and construction sector. Last year's Alpine Bau sales were approximately CZK 2.5 billion. The company employs around 450 employees. This transaction was reported by media as probably the largest acquisition in the Czech construction market over the last ten years.
PORR made its announcement of the transaction in a press release in which the purchase price was reported as amounting to about EUR 12 million, subject to adjustments based on closing accounts.

The market-leading manufacturer and supplier of comfort and industrial ventilation, cooling and air-conditioning systems JANKA ENGINEERING from Radotín in Prague has a history dating back to 1872. The company produces air conditioning units for trains and underground transit systems, equipment for cooling applications in heavy industry, energy industry, engineering industry and nuclear energy industry.

Weinhold Legal Attorneys Barbora Suchá and Tomáš Čermák, together with attorney-at-law Michal Vrajík, published with the ANAG publishing house a practical labour law publication for all employers, HR managers, employees and others who deal with labour law issues in Czechia and Slovakia.
In the book, each provision of the Czech Labour Code is matched with the corresponding provision of Slovak labour law. The main differences between the Czech and Slovak legislation are described in brief commentaries. At the end of the publication there is a table of reverse comparison where the relevant provisions of the Slovak Labour Code are matched with the corresponding provisions of the Czech Labour Code
Weinhold Legal advises on the sale of VENTOS s.r.o.
Weinhold Legal provided comprehensive legal advice to the shareholders of the engineering company VENTOS s.r.o. in connection with the sale of their majority 60% stake to the investment fund SkyLimit Industry.
Currently, the company employs over 150 people and offers comprehensive services in heating, thermal recovery and air conditioning. Its main products include heat exchangers and industrial driers.

Weinhold Legal advises on the sale of ŽPSV a.s.
Weinhold Legal provided comprehensive legal advice to Obrascón Huarte Lain (OHL) group in connection with the sale of its majority stake in ŽPSV a.s., the largest Czech supplier of concrete products for the building industry specializing in transport structures (railways, roads) and ground works, to the German group of Leonhard Moll AG. ŽPSV a.s.’s turnover last year was over CZK 1.5 billion, generating a profit of CZK 75 million. In addition to railway sleepers, ŽPSV also produces in its six production plants in the Czech Republic prefabricated halls and bridges and is active in other areas of construction.
The complex legal services related to this transaction included advice on the transactional structure, drafting and negotiating all contractual documentation, arranging for merger control clearance and closing assistance.

Weinhold Legal assisted with successful ICO (initial coin offering) for Cryptelo
Weinhold Legal provided comprehensive legal advice to Cryptelo s.r.o. in the preparation and successful implementation of the issue of its own cryptographic CRL under the so-called ICO - initial coin offer. Cryptelo s.r.o. deals with the encryption of data for the commercial sphere with the highest level of security. The resources obtained at ICO are used to further develop its products. The public phase of the ICO ended on 30th April, 2018, with the acquisition of digital resources to the satisfaction of the client.
Weinhold Legal provides input to a study for European Commission proposal for new amending directive: cross-border mergers, divisions and moves
Weinhold Legal has provided input into the Czech Republic chapter of a multi-jurisdictional study, subsequently the basis for the European Commission’s recently published proposal for a directive to ease the merger, division and relocation of companies within the EU.
The proposal includes new rules for simple mergers and new protective measures for shareholders and creditors. The procedure for cross-border mergers is also amended by the proposal - primarily to include additional protections for members and creditors. The proposal also includes new rules on cross-border conversions (from one EU state to another) and new rules are also introduced for divisions (into two or more entities across borders).

Zbyšek Kordač participated in an expert review of the Wolters Kluwer Czech translation of the “UNCITRAL Digest of Case Law on the United Nations Convention on Contracts for the International Sale of Goods with commentary” published in 2012“.
The Czech translation of the Digest was prepared under the supervision of Zbyšek Kordač, who also acts as an arbitrator of the Arbitration Court attached to Economic Chamber of the Czech Republic and Agricultural Chamber of the Czech Republic and the Vienna International Arbitral Centre (VIAC). Zbyšek Kordač says „I believe this publication will become a welcomed help to many Czech entrepreneurs when dealing with foreign partners“.

Weinhold Legal celebrates 20th anniversary
Weinhold Legal (WL) celebrated its twentieth anniversary with its clients and business partners at a Garden Party in the magical garden of Velkopřevorský Palace in Malá Strana.
The participants were inspired by the garden wall, which in recent decades has become the Lennon Wall. They left messages and wishes to WL and its lawyers on the LEGAL wall which had been installed in the garden especially for the party.

The announced deal value was 1.04 billion euros.
