Mgr. Dušan Kmoch

Dušan is a managing attorney at law.

Dušan specialises in commercial/corporate with a concentration in international transactions, mergers and acquisitions and joined the firm in 1999.

Dušan has provided legal services to major international and Czech companies including: E.ON, Siemens, Vivendi Group, Bayer/Schering, UniCredito Italiano, Esselte, Ashok Leyland, Bel, Lloyd Electric & Engineering, Harry’s, Connex, Amazon.com, Czech Coal, Ministry of Defence Czech Republic, Jan Becher- Karlovarská Becherovka, MERO ČR etc.

Dušan has also advised on company sales and acquisitions, privatisations, major Czech military acquisitions, joint venture projects, real estate and construction projects, Czech market-entry assistance for multinational clients and has provided a broad range of legal advice in the areas of general corporate and labour law.

JUDr. Ing. Ondřej Havránek

Ondřej is a managing attorney at law.

Ondřej specialises in real estate, mergers and acquisitions, restructuring and is also an active member of the firm’s German Desk and joined the firm in 1999.

Ondřej has worked on various legal engagements involving mergers and acquisitions (Unipetrol, OMV, ProLogis, Shell, Gardena) and general corporate and commercial advice (Plzeňský Prazdroj, Bohemia Sekt, Aral ČR, Colas, CMG, GZ Digital Media, Wagon Automotive, Select Appointments, Siemens) and real estate acquisitions for a number of companies, including ProLogis.

Ondřej also specialises in litigation/arbitration, having represented the Czech Republic in international investment arbitrations, and a number of significant Czech companies in court disputes with minority shareholders.

Ondřej speaks fluent English and German as well as his native Czech.

Mgr. Ing. Martin Lukáš

Martin is a managing attorney at law and head of the firm’s information technology and intellectual property group.

Martin specialises in mergers and acquisitions, restructuring, information technology, intellectual property and competition law and joined the firm in 1998.

Martin has worked for a number of major Czech and multinational companies and state authorities, including Česká spořitelna, Ministry of Defence, Mondi Packaging, Hachette Distribution Services, News Corporation, Microsoft, PLUS – DISCOUNT and Drinks Union.

Martin has been working on various corporate legal engagements including mergers and acquisitions, corporate restructuring, financing and greenfield investments in the Czech Republic. Martin also has extensive experience in dealing with personal data protection issues and data security and competition law projects.

Martin is participating in the project elaborating a study on the operation and impact of the Statute for a European Company (“Societas Europaea” - SE) in nearly all EU/EEA member states for the European Commission.

Martin speaks fluent English as well as his native Czech.

Mgr. David Emr

David is a managing attorney at law.

David specialises in general corporate, real estate and economic competition law and joined the firm in 1999.

David has provided services to many Czech and international companies, including Anglo Irish Banks, Allied Irish Banks, Bank of Scotland, Quinlan Private Golub, Grandi Stazioni, Atel, Red Group, Microsoft, BT, Bohemia Sekt, OMV, Aral.

David has participated in projects connected with the sale and acquisition of companies, privatisations, establishment of joint ventures, real estate transactions and other corporate agenda.

David equally divides his practice between general commercial law and competition law (primarily merger notifications). Additionally, David works on anti-monopoly clearances and counsels on the competition aspects of M&A deals and privatisations.

David co-authored the book “The legal and tax aspects of e-business” which was published in December 2001 by Linde and has also published several articles in the area of e-commerce in the professional press.

David speaks fluent English as well as his native Czech.

Mgr. Pavel Jendrulek

Pavel is a managing attorney at law.

Pavel specialises in banking and finance, capital markets, mergers and acquisitions and joined the firm in 2004.

Pavel has advised major international and Czech companies including, ABN AMRO, BRE Bank, Citibank, Commerzbank, Česká spořitelna, ČSOB, Erste Bank der österreichischen Sparkassen AG, HSBC BANK, UniCredit Bank, ING Real Estate Finance, International Power Opatovice, Komerční banka, Metrostav, SOCIETE GENERALE, Slovenská sporiteľňa, Tatra banka, WOOD & Company.

Mgr. Leo Javorek

Leo is a managing attorney-at-law.

Leo specialises on corporate law, mergers and acquisitions, commercial law, and regulatory matters and also has significant experience in the area of banking and finance and real estate.

Leo has experience of various business sectors, including the telecommunications, energy, automotive, cinematographic and real estate industries. Leo was also involved in representation a major energy corporation in a complex arbitration case.

Leo was involved in many projects for major Czech and international clients which include UniCredit Bank, ProLogis, Vodafone Czech Republic, UPC Česká republika, Actelion Pharmaceuticals, The Marmon Group, Corenso, Textron, Campbell Brothers, Satyam, Filasa and others.

Apart from his native Czech, he is fluent in English.

Mgr. Tomáš Čermák

Tomáš is a managing attorney at law in the firm’s Bratislava office.

Tomáš specialises in commercial law, mergers and acquisitions, labour law and in-bound investment and joined the firm in 1999.

Tomáš has advised many major Slovak and international companies such as ProLogis, Microsoft, Lighthouse, RWE, CME, OHL, Hella, Sita, Enel, Ernst & Young.

Tomáš also advises on distribution agreements, competition compliance programmes and M&A due diligence in Slovakia and the Czech Republic.

Tomáš is participating in the project elaborating a study on the operation and impact of the Statute for a European Company (“Societas Europaea” - SE) in nearly all EU/EEA member states for the European Commission.

He is a co-author of the publications “Redundancy Law in Europe” and “Age Discrimination Law in Europe” published by Kluwer Law International BV, Holland 2008 and 2009.

Tomáš speaks fluent English, Russian as well as his native Czech.

JUDr. Rastislav Kuklis

Rastislav is a managing attorney at law in the firm’s Bratislava office.

Rastislav specialises in corporate and commercial law, energy and utilities, banking and finance and litigation and joined the firm in 1999.

Rastislav has advised a wide range of clients, including Anglo Irish Bank, Enel, Eurovia, Vinci Energies, Rautaruukki, Reuters, C-Quadrat, ING, Komerční banka and Slovenská sporiteľňa, Philip Morris, EC Harris, Ernst & Young, T-Com, Slovak Telekom and RE Energy.

Rastislav has advised a number international and local clients on issues connected with mergers and other forms of group restructuring, as well as company acquisitions, energy and utilities, outsourcing, banking and securities regulations, real estate matters, administrative law, tax litigation, antimonopoly concerns and forensic investigations. In addition, Rastislav possesses a wealth of experience dealing with public tenders and selection proceedings.
