Auto Kelly
Weinhold Legal provided full legal services to the vendors on the sale of 100% of the shares in the largest automotive spare parts and accessories supplier in the Czech Republic and Slovakia, AUTO KELLY, to the leading European automotive spare parts and accessories supplier RHIAG, backed by ALPHA Private Equity. Auto Kelly recorded CZK 2.5 billion consolidated turnover in 2009, supplies more than 110,000 types of spare parts, accessories and garage equipment via its 64 branches and 150 Auto Kelly Autoservis concept partners, and has also successfully introduced its own branded STARLINE autoparts products and car accessories, CARFACE. The pro-forma consolidated turnover of RHIAG Group from the distribution of automotive spare parts, commercial vehicle spare parts, tyres and accessories after the acquisition of AUTO KELLY reaches 600 million EUR through more than 150 outlets. The role of Weinhold Legal in this significant transaction included organisation of due diligence, structuring of the transaction, drafting and negotiating complex transactional documentation involving elements of Czech law, English law, Hungarian law and Luxembourg law, and advising the sellers on anti-monopoly clearance matters and finance documentation.
Aelia
Complex support to Aelia (Lagardére group) in its successful 764 million CZK (nearly 30 million EUR) bid for acquiring from Czech Airlines the on-board sale and duty free business. The services included due diligence, transactional structuring, negotiation of two complex contracts, representation in the anti-monopoly clearance proceedings.
Enel
Weinhold Legal provided comprehensive legal services to the winning bidder in one of the Slovak Republic's largest privatisation projects (the offered price exceeded 840 million EUR) with respect to Slovenské elektrárne (the Slovak dominant electricity producer), including due diligence and assistance in negotiations with the Slovak government.
Iberdrola and Enel
Weinhold Legal provided comprehensive legal services to an international consortium, one of three short-listed bidders, in the Czech Republic's most ambitious privatisation project (the offered price exceeded 4 billion EUR) with respect to the Czech electricity sector, including due diligence on the dominant producer of electricity, operator of the transmission grid and 6 regional distribution companies.
